Terms of Service

3.1 Account Creation

To use the Service, you must create an account by providing:

• A valid email address
• A secure password
• Business information (optional for Starter, required for billing on Pro)

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

3.3 Account Information

You agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate accounts with false, inaccurate, or incomplete information.

3.4 One Account Per User

Each user may maintain only one active account. Creating multiple accounts to circumvent subscription limits or other restrictions is prohibited.

4.1 Free Plan (Starter)

The Starter plan is free and includes 5 invoices per month. The invoice counter resets on the 1st of each month. No credit card is required for the Starter plan.

4.2 Paid Subscriptions (Pro and Enterprise)

Pro and Enterprise subscriptions are billed monthly in advance via our payment processor, Lemon Squeezy. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring monthly basis.

4.3 Payment Processing

All payments are processed securely through Lemon Squeezy. We do not store your credit card information on our servers. Payment methods accepted include:

• Credit and debit cards (Visa, MasterCard, American Express)
• PayPal

4.4 Billing Cycle

Subscriptions renew automatically on the same day each month. You will be charged on your renewal date unless you cancel before the renewal date.

4.5 Price Changes

We reserve the right to change subscription prices with at least 30 days' notice via email. Price changes will take effect on your next billing cycle after notice is provided. Continued use of the Service after the price change constitutes acceptance of the new price.

4.6 Refund Policy

Subscriptions are billed on a monthly basis. We do not offer refunds for partial months of service. You may cancel your subscription at any time, and you will retain access to paid features until the end of your current billing period.

6.1 Your Content

You retain all rights to the content you create using the Service, including invoices, client information, and business data ("User Content").

6.2 License to Us

By using the Service, you grant us a limited, non-exclusive, royalty-free license to store, process, and display your User Content solely for the purpose of providing and improving the Service.

6.3 Data Storage

We use Supabase (PostgreSQL) for secure data storage with the following protections:

• Row Level Security (RLS): You can only access your own data
• Encryption: Data in transit is encrypted via HTTPS/TLS
• Backups: Automated daily backups

6.4 Data Export

You may export your data at any time by:

• Downloading individual invoices as PDF
• Requesting a full data export by contacting support (we will provide a JSON or CSV file within 30 days)

6.5 Data Deletion

Upon account termination or deletion, we will:

• Delete your User Content within 30 days
• Retain anonymized usage data for analytics purposes
• Retain billing records for legal and tax compliance as required by law

6.6 Prohibited Content

You agree not to upload or create:

• Illegal, obscene, or defamatory content
• Content that infringes on intellectual property rights
• Invoices for illegal goods or services

7.1 Our Rights

All intellectual property rights in the Service, including but not limited to software, design, logos, trademarks, and documentation, are owned by ANIMUS CODE LTD or our licensors.

7.2 License to You

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

7.3 Restrictions

You may not:

• Copy, modify, or create derivative works of the Service
• Remove or alter any proprietary notices
• Use our trademarks or branding without permission

7.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate such feedback without compensation or attribution.

8.1 GDPR Compliance (UK/EU Users)

We comply with the UK General Data Protection Regulation (UK GDPR). You have the right to:

• Access your personal data
• Rectify inaccurate data
• Request deletion of your data ("right to be forgotten")
• Object to processing of your data
• Data portability

8.2 Data Processing

We process your data on the following legal bases:

• Contract: To provide the Service
• Legitimate Interest: To improve the Service and prevent fraud
• Consent: For marketing communications (opt-in)

8.3 Third-Party Services

We use the following third-party services that may process your data:

• Supabase: Database and authentication
• Lemon Squeezy: Payment processing

These services have their own privacy policies and security measures.

9.1 Termination by You

You may terminate your account at any time by:

• Cancelling your subscription (Settings → Subscription → Cancel)
• Emailing us at support@animusinvoice.com to request account deletion

Termination takes effect at the end of your current billing period for paid subscriptions, or immediately for free accounts.

9.2 Termination by Us

We may suspend or terminate your account immediately without notice if:

• You violate these Terms
• Your account is involved in fraudulent or illegal activity
• Your payment fails and you do not update payment information
• We are required to do so by law

9.3 Effect of Termination

Upon termination:

• You lose access to the Service and your User Content
• We will delete your data within 30 days (see Section 6.5)
• No refunds will be provided for unused subscription time
• Sections of these Terms that by their nature should survive (e.g., indemnification, limitation of liability) will continue to apply

10.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Uninterrupted or error-free operation

10.2 No Tax or Legal Advice

The Service is an invoicing tool only. We do not provide tax, accounting, or legal advice. You are responsible for ensuring your invoices comply with all applicable laws and regulations, including tax requirements in your jurisdiction.

10.3 Third-Party Services

We are not responsible for the availability, accuracy, or reliability of third-party services (e.g., Supabase, Lemon Squeezy) integrated with our Service.

10.4 Beta Features

Beta features (including the current beta release) are provided for testing purposes and may contain bugs or errors. We make no warranties regarding beta features.

11.1 Exclusion of Damages

ANIMUS CODE LTD SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Cost of substitute goods or services
• Damages resulting from unauthorized access to your account

11.2 Cap on Liability

Our total liability to you for any claim arising from your use of the Service shall not exceed the greater of:

• The amount you paid us in the 12 months preceding the claim, OR
• £100

11.3 Exceptions

Nothing in these Terms excludes or limits our liability for:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Any liability that cannot be excluded by law

13.1 Right to Modify

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page
• Notify you via email (if you have provided one)
• Display a notice in the Service

13.2 Acceptance of Changes

Continued use of the Service after changes to these Terms constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and terminate your account.

13.3 Notice Period

Material changes will take effect 30 days after notice is provided, unless a shorter period is required by law.

14.1 Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

14.2 Jurisdiction

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14.3 Informal Resolution

Before filing a claim, you agree to contact us at support@animusinvoice.com to attempt to resolve the dispute informally. We will make reasonable efforts to resolve disputes within 30 days.

14.4 Class Action Waiver

To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action or representative action.

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ANIMUS CODE LTD regarding the Service.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

15.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or successor entity.

15.5 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, internet failures, or third-party service outages.

15.6 Relationship

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and ANIMUS CODE LTD.
